Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you and Inkwell Studios, operated by Yeema Holdings LTD ("we", "us", or "our"), governing your access to and use of our commission platform at cportal.inkwell.dev.

By accessing or using our platform, you agree to be bound by these Terms. If you disagree with any part of these terms, you may not access the platform.

Commission Services

Inkwell Studios provides a platform connecting clients with artists for commissioned artwork. By using our services:

• You agree to provide accurate and complete information when submitting commission requests
• You understand that all initial deposits are non-refundable once work has begun on your project
• You acknowledge that final deliverables are subject to the agreed-upon specifications
• You agree to communicate promptly and professionally throughout the commission process

User Accounts

When you create an account on our platform:

• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activities that occur under your account
• You agree to notify us immediately of any unauthorized use of your account
• We reserve the right to terminate accounts that violate our terms or policies

Intellectual Property Rights

Regarding commissioned work:

• Upon full payment, clients receive the agreed-upon usage rights for the commissioned artwork
• Unless explicitly specified in writing, artists retain copyright ownership of their creations
• Artists may display the work in their portfolios unless a non-disclosure agreement is in place
• Unauthorized reproduction, distribution, or modification of artwork is prohibited

Payment Terms

Our payment policies include:

• All prices are listed in USD unless otherwise specified
• A non-refundable deposit is required to initiate work on any commission
• Final payment must be received before the delivery of high-resolution files or physical items
• Late payments may result in project delays or termination

Cancellation Policy

In the event of cancellation:

• Initial deposits are non-refundable once work has begun
• Clients who cancel after work has started will not be charged the remaining balance
• Artists may cancel commissions in cases of harassment, unreasonable demands, or other violations of our terms
• We reserve the right to terminate any project that violates our policies or applicable laws

Limitations of Liability

Inkwell Studios shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profit, lost revenue, lost data, or other damages arising from your use of our platform. In no event shall our liability exceed the amount paid by you for the specific commission in question.

Indemnification

You agree to indemnify, defend, and hold harmless Inkwell Studios and our affiliates, officers, agents, and employees from any claim, liability, loss, damage, or expense, including attorneys' fees, arising from your violation of these Terms, your use of our platform, or your violation of any rights of a third party.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions. Any dispute arising from these Terms shall be resolved exclusively in the courts of the United Kingdom.

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by updating the "Last Updated" date at the bottom of this page. Your continued use of our platform after such modifications constitutes your acceptance of the revised Terms.
